Welcome to Kernel Knowledge Management (“Kernel”, “we”, “our”, or “us”). These Terms and Conditions (“Terms”) govern your access to and use of the Kernel software-as-a-service (“SaaS”) platform and related services (collectively, the “Service”). By using Kernel, you agree to be bound by these Terms. If you do not agree, you must not use our Service.

1. About Kernel

Kernel is a cloud-based knowledge management platform that allows users to create and manage their personal knowledge base by saving notes and tracking sources of information, such as links or descriptions.

We offer both a free plan and a paid plan, with the paid plan billed in United States Dollars (USD).

2. Account Registration & Usage

2.1 Eligibility

To use Kernel, you must:

  • Be at least 18 years old (or the legal age in your jurisdiction).
  • Provide accurate and complete account information.
  • Use the Service only for lawful purposes.

2.2 Account Security

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must notify us immediately if you suspect unauthorized access to your account.
  • We are not liable for any loss or damage arising from unauthorized access due to your failure to maintain security.

2.3 Prohibited Activities

You must not:

  • Use the Service for illegal, fraudulent, or harmful activities.
  • Copy, modify, distribute, sell, or lease any part of Kernel without authorization.
  • Upload viruses, malware, or any content that violates third-party rights.
  • Attempt to bypass or disrupt security features of the Service.

We reserve the right to suspend or terminate accounts found in violation of these Terms.

3. Subscription Plans & Payments

3.1 Free & Paid Plans

  • We offer both free and paid subscription plans.
  • Paid subscriptions are billed in United States Dollars (USD).
  • Details on pricing, features, and limitations of each plan are available on our website.

3.2 Billing & Auto-Renewal

  • Paid plans are billed on a recurring basis (e.g., monthly or annually) until canceled.
  • By subscribing, you authorize us (or our payment processor, Stripe) to charge your provided payment method.
  • You may cancel your subscription at any time, but no refunds will be provided for unused periods.

3.3 Price Changes

  • We may modify our pricing and will provide notice before changes take effect.
  • Continued use of Kernel after price changes constitutes acceptance of the new pricing.

4. Refund & Cancellation Policy

  • Refunds are not provided for partial subscription periods, unused features, or account downgrades. The only exception of the 7-day money-back guarantee offered to new subscribers. The terms and conditions of this refund policy are available here.
  • You may cancel at any time, but your access remains active until the end of your current billing cycle.
  • In cases of accidental billing or system errors, please contact us for assistance.

5. Data Ownership & Privacy

5.1 User Data & Content

  • You retain ownership of all notes, sources, and data that you create in Kernel.
  • By using Kernel, you grant us a limited license to store, process, and display your data solely to provide the Service.

5.2 Data Privacy

  • We do not sell user data.
  • We comply with data protection laws, and our Privacy Policy governs how we collect, store, and protect user information.
  • We recommend backing up important data as we are not responsible for data loss due to unforeseen circumstances.

6. Service Availability & Changes

6.1 Availability

  • Kernel strives for 99% uptime, but we do not guarantee uninterrupted service.
  • Downtime may occur due to maintenance, updates, or technical issues.

6.2 Changes to the Service

  • We may update or modify Kernel at any time.
  • If a significant change negatively impacts your use, we will notify you in advance where possible.

7. Termination & Suspension

7.1 Voluntary Termination

You can delete your account at any time through your user settings or by contacting us.

7.2 Involuntary Suspension or Termination

We reserve the right to suspend or terminate your account if:

  • You violate these Terms.
  • Your use poses a security risk.
  • We are required by law or regulatory authorities.

8. Limitation of Liability

To the fullest extent permitted by law:

  • Kernel is provided “as is” and “as available” without warranties.
  • We do not guarantee that the Service will be error-free or uninterrupted.
  • We are not liable for indirect, incidental, or consequential damages.
  • Our total liability shall not exceed the amount paid for the Service in the last 12 months.

9. Indemnification

You agree to indemnify and hold harmless Kernel, its officers, employees, and affiliates from any claims, damages, or legal fees arising from:

  • Your use of the Service.
  • Violations of these Terms.
  • Any third-party claims due to your content or conduct.

10. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of New South Wales, Australia.
  • Any disputes shall first be attempted to be resolved through negotiation.
  • If unresolved, disputes will be settled through binding arbitration in New South Wales, Australia.

11. Changes to These Terms

  • We may update these Terms at any time and will provide reasonable notice before changes take effect.
  • Your continued use of Kernel after updates means you accept the revised Terms.
